Terms and Conditions

These User Terms and Conditions (“Terms”) govern the access to and use of SignUP, a PCI DSS compliant digital acquisition application owned and operated by SG Global Support Services Sdn Bhd (Company No.: 841626-T) of Level 18, Axiata Tower, No. 9 Jalan Stesen Sentral 5, KL Sentral, 50470 Kuala Lumpur, Malaysia (“SG”, “we”, “us” or “our”).

By registering for a trial, subscribing to, accessing, or using SignUP, you (“User”, “Subscriber”, “you” or “your”) confirm that you have read, understood, and agree to be bound by these Terms.

1. INTERPRETATION

Unless the context otherwise requires:

  1. words importing the singular include the plural and vice versa.
  2. references to any law include amendments and re-enactments.
  3. headings are for convenience only and shall not affect interpretation.

Applicable Data Protection Laws” means all data protection, privacy, and data security laws applicable to the processing of Personal Data in any relevant jurisdiction, including the Personal Data Protection Act 2010 (Malaysia), and any equivalent or successor legislation in other countries, as amended from time to time.

2. ACCEPTANCE AND ELIGIBILITY

2.1 You confirm that:

  1. you are legally capable of entering into these Terms; and
  2. where you act on behalf of an organisation, you have authority to bind that organisation.

2.2 If you do not agree to these Terms, you must not access or use SignUP.

3. SCOPE OF SERVICES AND USE

3.1 Licence to Use

Subject to compliance with these Terms, SG grants you a limited, non-exclusive, non-transferable, revocable licence to access and use SignUP solely for fundraising, questionnaires, membership, or subscription campaigns.

3.2 Restrictions
You shall not:

  1. copy, modify, reverse engineer, or interfere with SignUP;
  2. use SignUP for unlawful, misleading, or fraudulent activities;
  3. permit unauthorised access to your SignUP account.

4. TRIAL ACCESS

4.1 Trial Grant

SG may, at its discretion, grant trial access to SignUP with limited features, duration, or usage.

4.2 No Assurance

Trial access is provided on an “as is” and “as available” basis and may be suspended or withdrawn at any time without liability.

4.3 Conversion

Upon subscribing to a paid plan, these Terms continue to apply together with any applicable pricing or service terms.

5. ACCOUNT SECURITY AND RESPONSIBILITY

5.1 You are solely responsible for:

  1. maintaining confidentiality of login credentials;
  2. all activities performed through your account;
  3. ensuring data entered into SignUP is accurate and authorised.

5.2 SG shall not be responsible for unauthorised access caused by your failure to safeguard credentials.

6. FEES, CREDITS, AND PAYMENTS

6.1 Paid use of SignUP is subject to applicable fees, prepaid credits, and payment terms as agreed at the point of purchase or under a separate written agreement.

6.2 Credits:

  1. are prepaid and non-refundable;
  2. do not expire unless otherwise stated;
  3. may be forfeited upon termination.

7. USER DATA AND CONTENT

7.1 Ownership

All data, information, and materials uploaded or collected through SignUP (“User Data”) remain the property of the User.

7.2 Responsibility for Data
You are solely responsible for:

  1. the legality, accuracy, and integrity of User Data;
  2. obtaining all necessary consents from individuals whose data is collected;
  3. compliance with all applicable laws and regulations.

You acknowledge that you determine the purposes and means of processing Personal Data collected via SignUP and are therefore the “data controller” (or equivalent concept under Applicable Data Protection Laws), and SG acts as a “data processor”, “service provider”, or equivalent role, as applicable.

7.3 Data Retention

During the term of your subscription, you determine the retention period for your User Data through the functionality of SignUP. You are responsible for managing, exporting, extracting, backing up, and retaining your User Data in accordance with your own retention requirements.

Subject to Clause 14 (Termination), upon termination or suspension of your account or these Terms for any reason, SG will retain User Data for a period of thirty (30) days (the “Grace Period”), unless otherwise agreed in writing or required by Applicable Data Protection Laws. During the Grace Period, you may request export or retrieval of your User Data.

You acknowledge and agree that SG has no obligation to retain User Data beyond the Grace Period. Upon expiry of the Grace Period, SG may delete, permanently anonymise, or render inaccessible the User Data in accordance with its standard data deletion practices and backup processes, without liability to you, unless continued retention is required under Applicable Data Protection Laws.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 SG Intellectual Property

All intellectual property rights in SignUP, including software, trademarks, service marks, and documentation (“SG IPR”), belong exclusively to SG.

8.2 Restrictions

Nothing in these Terms transfers any ownership rights in SG IPR to you.

8.3 Feedback

Any feedback or suggestions provided may be used by SG without restriction or compensation.

9. CONFIDENTIALITY

Each party undertakes to keep confidential any non-public information received from the other party and to use such information solely for purposes related to SignUP, except where disclosure is required by law.

10. DATA PROTECTION AND PRIVACY

10.1 Compliance with Applicable Data Protection Laws

Each party shall comply with all Applicable Data Protection Laws in relation to Personal Data processed under these Terms.

You warrant that you have provided all required notices and obtained all necessary consents or lawful bases from data subjects for the collection, use, processing, disclosure, and transfer of Personal Data.

10.2 Cross-Border Data Transfers

You expressly acknowledge and agree that SignUP is operated from Malaysia and that Personal Data collected through SignUP may be transferred to, stored in, processed in, or accessed from jurisdictions outside the country in which you or the data subjects are located, including Malaysia.

You further acknowledge that data protection and privacy laws in such jurisdictions may differ from those in the data subjects’ country of residence.

You warrant that you have obtained all necessary consents and provided all required disclosures to data subjects in relation to such cross-border transfers in accordance with Applicable Data Protection Laws.

10.3 International Safeguards

Where required by Applicable Data Protection Laws, SG will take reasonable steps to implement appropriate safeguards for cross-border data transfers, which may include contractual, technical, or organisational measures, or reliance on recognised legal exceptions.

10.4 Data Security

SG will implement reasonable technical and organisational measures to protect Personal Data, having regard to the nature of the data, the state of the art, and the cost of implementation.

You acknowledge that no system can be guaranteed to be completely secure and that SG does not warrant absolute security.

11. DATA ANALYTICS AND AGGREGATION

11.1 SG may collect, process, and analyse User Data, including Personal Data, in aggregated, anonymised, or de-identified form for the following purposes:

  1. service monitoring and analytics;
  2. product development and improvement;
  3. system security, fraud prevention, and integrity checks;
  4. statistical reporting and benchmarking.

11.2 Such analytics shall not be used to identify individual data subjects and shall not disclose User-specific confidential information.

12. PCI DSS COMPLIANCE

Where payment card data is processed, SG shall comply with, or engage third-party providers that comply with, PCI DSS standards, as applicable.

13. SERVICE AVAILABILITY AND MAINTENANCE

13.1 SignUP is provided subject to scheduled maintenance, updates, and possible interruptions.

13.2 SG does not warrant uninterrupted or error-free operation and shall not be liable for outages caused by factors beyond its reasonable control.

14. TERMINATION

14.1 By User
You may terminate your account by written notice.

14.2 By SG
SG may suspend or terminate access immediately if you:

  1. breach these Terms;
  2. breach data protection or security obligations;
  3. use SignUP unlawfully or in a manner harmful to SG or third parties.

14.3 Effect of Termination

  1. Access to SignUP will cease;
  2. Unused credits may be forfeited;
  3. You must complete all data retention activities within any grace period provided.

15. DISCLAIMERS

To the maximum extent permitted by applicable law, SignUP is provided “as is” and “as available”.

Nothing in these Terms excludes or limits any rights or remedies that cannot be excluded under mandatory consumer protection or data protection laws applicable to the User.

16. LIMITATION OF LIABILITY

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law.

Subject to the foregoing:

SG’s total liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of:

  1. the total fees actually paid by the User to SG in the 12 months immediately preceding the claim; or
  2. USD1000 (or its equivalent in the User’s currency).

This limitation applies to all claims, whether arising from performance, non-performance, or otherwise, except to the extent liability cannot be limited under applicable law (such as for gross negligence, fraud, or willful misconduct).

17. INDEMNITY

You agree to indemnify and hold harmless SG from all claims, losses, damages, penalties, and expenses arising from:

  1. your use of SignUP;
  2. your User Data;
  3. breach of these Terms or applicable laws.

18. PUBLICITY

Unless otherwise notified in writing, SG may identify you as a SignUP user and use your name or logo for promotional and marketing purposes.

19. FORCE MAJEURE

Neither party shall be liable for failure or delay caused by events beyond reasonable control, including natural disasters, system failures, or government actions.

20. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of Malaysia, subject to any mandatory rights or protections that apply under applicable law based on the User’s location.

21. AMENDMENTS AND VERSIONING
21.1 SG may revise, amend, or update these Terms from time to time to reflect changes in our services, operational practices, legal or regulatory requirements, or for other legitimate business reasons.

21.2 Each version of these Terms shall be identified by a version number and/or “Last Updated” date stated at the top of this document. The most current version shall be made available via SignUP or on SG’s website.

21.3 Where amendments materially affect your rights or obligations, SG will use reasonable efforts to notify Users who have previously agreed to these Terms. Such notice may be provided by email, in-application notification, account dashboard notice, or by other reasonable electronic means prior to the effective date of the revised Terms.

21.4 Unless otherwise stated, amended Terms shall take effect on the date specified in the updated version. Your continued access to or use of SignUP after the effective date constitutes your acceptance of the revised Terms.

21.5 If you do not agree to the amended Terms, you must cease using SignUP and may terminate your account in accordance with Clause 14.
